NGO Structure - 2010
The General  Assembly

General Assembly is made of all NGO
making (governing) body of the NGO.

Executive Board, the Chairman and the
Secretary. It also elects or appoints the
Executive Director and the members of the
Ethical Commission.

changes or amendments of the statute,
mission, vision and symbols of the NGO. It
also analyses the progress of the work
done by Executive Board.

The Assembly takes decisions and sets
rules about the proper functioning of the
NGO; monitors the progress of the work.
The Assembly decides about economic and
financial issues of the NGO, approves
annual budget and expenditures.
The Ethical Commission

It is made of 3 -5 members elected by the General Assembly. It conducts the
following duties: verifies the mandates of members of the assembly and the
mandates of the members of the governing and management bodies if they are
incompliance with the statute; considers the applications for membership and
complaints for dismissal; analysis different disputes between the governing
bodies and the management bodies It monitors how the decisions are taken from
the executive board and how are they executed, how the funds are used and how
laws are observed.
The Executive Board

It is the principal executive body of the NGO. The Executive Board is headed by the
administration; prepares the job description of the executive director and evaluates
the progress of his work; approves the structure of the Technical Management
Council proposed by the Executive Director for the implementation of the projects
and monitors its activity; approves the regulations and manuals (human resources
manual, finance manual, and the special manual on the revenues and expenses);
approves the annual expenditures, the budget and the foreseen expenditures for the
next coming year. The Board holds regular meetings at least 2 times per year to
analyse its work and the work of Executive Director.
The Executive Director

He is responsible for the daily management of the NGO. He conducts the following operation duties:
1) hiring, firing, and supervising the staff; 2) managing and evaluating of projects and operations; 3) identification, acquiring, and
management of NGO resources; 4) preparation of annual budget and report; 5) proposes policies and strategic initiatives to the
Executive Board; 6) communication with all stakeholders; 7) promotion of the organization in the community; 8) signature of all
documents, agreements and contracts on behalf of the NGO; 9) participation without the right of vote vote, and reporting in the
meetings of the executive board; 10) monitoring and evaluation of projects and  programs.

It is the main day-to-day management body of the NGO that helps the Executive Director to run the NGO efficiently. The TMC is
headed by the Executive Director and it is composed of program or project managers.

The Current structure of the Executive Council is: 1.Executive director, 2. Chief of finance and admin, 3. Risk Education Team
Leader; 4. Child Protection TL , 5. Procurement  Manager, 6.Monitoring –Observatory Manager.
